These Terms & Conditions (“Terms”) govern access to and use of AAA i Services (UK) Limited’s (“AAA”, “we”, “us”) telecom and logistics products and services (the “Services”) via our websites, portals and APIs (the “Platform”). By creating an account or using the Services, you (“Retailer”, “you”) agree to these Terms.

1. Acceptance & Eligibility
- You confirm you are a UK-based business, duly authorised to enter into contracts and resell to end customers.
- Provider-specific terms may also apply to particular products (e.g., mobile operators, carriers); if they conflict, provider terms usually prevail for that product.
2. Accounts, Security & Two-Factor Authentication
- Credential safety: You are responsible for keeping usernames, passwords and devices secure. We will never ask for your password.
- 2FA required by default: Our Platform supports two-factor authentication (2FA). If you disable or circumvent 2FA, this is a breach of security. You assume full liability for any loss, misuse or unauthorised activity occurring while 2FA is disabled. We may suspend or terminate access immediately in such cases.
- You must promptly revoke access for former staff and restrict internal access on a need-to-know basis.
3. Use of Services
- You may sell Services only to end customers in the UK for lawful purposes. Sub-resale to other resellers requires our written consent.
- Acceptable use: You must not use the Services for fraudulent, harmful, infringing or abusive activity. See our Acceptable Use Policy.
- Marketing must be lawful, not misleading, and comply with advertising standards. Provider and AAA logos/marks are used under licence only.
4. Pricing, Wallet, Payments & Taxes
- Retailer purchases at the commissioned price shown on the Platform. Unless expressly agreed in writing, no separate commission is payable.
- Payments to AAA are by bank transfer only (no cash). Reference your business name or AAA username.
- Wallet top-up crediting times: Crediting occurs during AAA’s published business hours shown on our website (Contact Us). Hours may be updated from time to time. For Bank Holidays, please contact Customer Care for the day’s business hours.
- Emergency cash acceptance (if explicitly agreed) may incur additional fees.
- Prices may be subject to VAT in accordance with HMRC rules.
5. Refunds & Chargebacks
- Refunds are considered only where a voucher/service is invalid or fails through no fault of you or the end customer.
- Refunds to you are contingent on AAA receiving a reciprocal refund from the upstream provider.
- Approved refunds may be offset against your wallet or future invoices. See also our Refunds Policy.
6. Telecom Products (Vouchers & Top-ups)
- Denominations, operators and destinations are subject to provider availability and may change without notice.
- Operator-side delays, holds or KYC checks may affect delivery; AAA is not liable for operator-side controls.
7. Logistics (Courier/Shipping)
- Quotations are based on data supplied (dimensions, weight, contents, commodity codes). Surcharges may apply if actuals differ.
- You are responsible for compliance with export/import rules, sanctions and customs declarations. Transit times are estimates and can be affected by carrier controls.
- Loss/damage liability is governed by the carrier’s terms; service availability and coverage may vary by destination.
8. Compliance & Policies
- Data protection: We comply with UK GDPR and the Data Protection Act 2018. See our Privacy Policy and Cookie Policy.
- Consumer law: You are solely responsible for UK consumer law compliance in your retail dealings.
- Sanctions/AML: You must not use Services in breach of UK sanctions or AML laws; suspicious activity must be reported.
- Anti-bribery: You will comply with the Bribery Act 2010. See our Anti-Bribery Policy.

9. Intellectual Property
All Platform software, content and branding remain the property of AAA or its licensors. You receive a limited, revocable, non-transferable licence to use the Platform and brand assets solely to sell Services per these Terms.
10. Service Availability & Changes
We may change or discontinue features, products or pricing to reflect provider changes, law or market conditions. We will act reasonably to communicate material changes via the Platform or email where feasible.
11. Disclaimers & Limitation of Liability
- To the extent permitted by law, the Services are provided “as is” and we exclude implied warranties.
- We are not liable for indirect or consequential loss, or lost profits/revenue. Nothing limits liability for death/personal injury caused by negligence, fraud or other liabilities that cannot be excluded by law.
12. Suspension & Termination
- We may suspend immediately if we suspect fraud, non-compliance, reputational or security risk (including where 2FA is disabled), or provider non-certification.
- Convenience termination: Either party may terminate with 30 days’ written notice.
- On termination you must stop using the Services, remove branding and settle outstanding sums.
13. Changes to These Terms
We may update these Terms from time to time. Changes take effect upon posting; continued use indicates acceptance. Material changes will be highlighted where practicable.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction.
